Introduction of formation of private limited company in Hong Kong

There has 2 ways to setup a company in Hong Kong either by a “Tailor-made Company” or “Ready-made Company”.

Basic requirements for setting up a private limited company
Basic requirements
Name of company
  • Chinese company name should contain traditional Chinese characters.
  • Company name will not be registered if it is the same as a name appearing in the Registrar’s Index of company names or too similar.
  • An English company name must end with the word “Limited” and a Chinese company name must end with the characters “有限公司”.
Shares There has no requirement on the minimum amount of a company’s paid-up capital. But in general practice, authorized & issued share capital will normally be 10,000 shares with a par value of HK$1.00 each, totaling of HK$10,000.
Shareholder
  • At least one shareholder but restricted to 50.
  • Non-Hong Kong resident and Corporate body either local or overseas can be the shareholder of the company.
Director
  • At least appoint one director but no maximum limit.
  • No nationality restriction on the appointment of director.
Company Secretary
  • Must be appointed one company secretary.
  • To be a company secretary, the person must be ordinarily reside in Hong Kong; if it is a corporate body, it must have its registered office or a place of business in Hong Kong.

Frequently asked questions

1. Is there any restriction of the name of Company?

Yes. The following names are prohibited from registration :

  • it is the same as a name appearing in the Registrar’s index of company names;
  • it is the same as that of a body corporate incorporated or established under an Ordinance.
  • In the opinion of Chief Executive, it is offensive or otherwise contrary to the public interest;
  • In the opinion of Chief Executive, its use would constitute a criminal offence and
  • Name of company in English must end with the word “Limited” (or its equivalent in Chinese).
2. How long does it take?

It will take 7 to 10 working days for whole brand new company and 5 to 8 working days for shell company.

3. Who can be shareholder and director?

Anyone who aged 18 or above can be shareholder and director. Director must not be bankrupt or convicted for any malpractices. No nationality restriction.

4. How many shareholder and director should be appointed?

At least one should be appointed for a company. A person can be both shareholder and director for the company. Maximum number of shareholders is restricted to 50 and no limit for directors.

5. Is there any limit for the registered share capital?

No. There has no limit or restriction on the maximum amount of share capital.

6. Can the shares be transferred?

Yes. Shares can be freely transferred, subject to a stamp duty fee.

7. Is it a mandatory to have a company secretary?

Yes. It is a mandatory to have a company secretary.

8. Who can be appointed as company secretary?

Company secretary can either be a person or corporation body. (i.e Person who appoints as company secretary must be ordinarily reside in Hong Kong. Corporation body must have its registered office or a place of business in Hong Kong.) Note: If a person or corporation body is the sole shareholder and director cannot be appointed as company secretary.
